PLEASE READ THESE AFFILIATE’S TERMS AND CONDITIONS CAREFULLY

These Cash the Card Affiliate’s Terms (the “Affiliate’s Terms”) are a binding legal contract entered into by you (referred to herein as “Seller”) and Cash the Card Inc. (“Cash the Card”). Capitalized terms not defined herein shall have the definitions assigned to them in the Terms and Conditions. Both you and Cash the Card may be referred to herein individually as a “Party”, and collectively as the “Parties”.

1. Affiliate’s Program

1.1 Description

Sellers who sell large volumes of gift cards to Cash the Card, or sell gift cards of high value to Cash the Card, may qualify for participation in Cash the Card’s affiliate program (the “Affiliate Program”; program participants are referred to herein as “Affiliate”). The Affiliate Program offers several benefits, including but not limited to: dedicated customer support line, and bulk order uploading.

1.2 Seller Screening

Affiliate’s shall be subject to additional screening at Cash the Cards discretion, including but not limited to submission to identity verification procedures administered by both Cash the Card and third-party providers. Affiliate’s may be required to provide additional identity verification documents, including but not limited to government issued identification and other documents evidencing Affiliate’s’s physical work or home address. You hereby consent to the foregoing and the use of your personal information for all identity verification purposes.

1.4 Cooperation with Retailers or Law Enforcement

Cash the Card may, at its sole discretion, cooperate with, or otherwise provide partners information to, gift card retailers and/or law enforcement officials, in association with any claim, investigation, or other controversy in connection with partner’s sale of any locked, stolen, fraudulent, or otherwise compromised gift cards to Cash the Card.

1.5 Membership

Cash the Card may approve or reject your application to the Affiliate’s Program at its sole discretion. Cash the Card may remove you from the Affiliate’s Program at any time, for any reason or for no reason, at its sole discretion.

2. ADDITIONAL TERMS

2.1 Change to the Affiliate’s Terms

Cash the Card reserves the right to amend these Affiliate’s Terms at any time. If amendments constitute a material change to the Affiliate’s Terms, to be determined at the sole discretion of Cash the Card, Cash the Card will notify you via e-mail or via a conspicuous notice on the Website.

2.2 Term of Affiliate’s Terms

These Affiliate’s Terms shall be effective from the moment you first apply for the Affiliate’s Program, until your use of the Service has completely ceased.

2.3 Survival Provisions

The rights and obligations of the Parties under these Affiliate’s Terms shall survive the expiration or termination thereof.

2.4 Conflicts and Incorporation by Reference

These Affiliate’s Terms are not a replacement for the Cash the Card terms and conditions (the “Terms and Conditions”). For all Affiliate’s, these Affiliate’s Terms are hereby incorporated by reference into the Terms and Conditions, and the definition of the term “Agreement”, as it is used within the Terms and Conditions, shall be amended to also include the Affiliate’s Terms.

Both the Affiliate’s Terms and the Terms and Conditions shall apply in full force and effect. Should any conflict arise between the Affiliate’s Terms and the Terms and Conditions, the Affiliate’s Terms shall prevail. For the avoidance of doubt, the foregoing is not in conflict with Section 10.14 of the Terms and Conditions, which state that the Terms and Conditions shall prevail over other policy documents.

2.5 Severability

In the event that any one or more of the provisions of these Affiliate’s Terms is for any reason held to be illegal or unenforceable in any respect, such illegality or unenforceability shall not affect the other provisions of these Affiliate’s Terms, which shall remain in full force and effect.
